Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and BNM Research Peptides LLC, a limited liability company organised under the laws of the State of Arizona, doing business as BNM Research Peptides ("BNM Research Peptides," "we," "us," or "our"). They govern your access to and use of bnmresearchpeptides.com (the "Site") and your purchase of any material from us.

Please read these Terms carefully. By accessing the Site, creating an account, or placing an order, you agree to be bound by them. If you do not agree, do not use the Site.

1. Eligibility and account registration

1.1 Who may use the Site

You may use the Site and purchase from us only if you are at least 21 years of age, are able to form a binding contract, are located in the United States, and satisfy the buyer eligibility criteria in our Research Use Policy. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind it, and "you" refers to both you and that organisation.

1.2 Account information

You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at orders@bnmresearchpeptides.com of any unauthorised use.

1.3 Verification

We verify accounts before releasing a first order and may request documentation of institutional or business affiliation, proof of age, or confirmation of intended use at any time. We may suspend or refuse to fulfil orders pending verification. We reserve the right to refuse service, cancel orders, or close accounts at our discretion for any lawful reason.

2. Research use — the central condition of sale

Our Research Use Policy is incorporated into these Terms in full and forms part of this agreement. You should read it before ordering.

We provide no information regarding preparation, quantity, administration, or use, and our personnel will not answer such questions. Breach of the covenant is a material breach of these Terms and carries the consequences described in the Research Use Policy, including cancellation, account closure, loss of all remedies, and the indemnity obligations in Section 8.4.

3. Orders, pricing, and payment

3.1 Orders are offers

Submitting an order is an offer to purchase. No contract is formed until we send an order confirmation and release the order for shipment. We may decline or cancel any order, in whole or in part, at any time before dispatch — including after payment has been taken. Where we cancel, we refund the amount paid for the cancelled items.

3.2 Pricing and errors

Prices are stated in U.S. dollars and exclude applicable taxes and shipping unless stated otherwise. Prices may change without notice. Despite our efforts, the Site may contain typographical errors, inaccuracies, or omissions relating to price, availability, or specification. We reserve the right to correct any error and to cancel any order placed on incorrect information, even after confirmation.

3.3 Availability

Catalog listings are not an assurance of availability. Materials are supplied subject to stock and to lot release. Where a material is unavailable we will notify you and offer a substitute lot, a backorder, or a refund.

3.4 Payment

Payment is due in full at the time of order unless we have approved terms in writing for a verified institutional account. You represent that you are authorised to use the payment method supplied and that the information provided is accurate. We use third-party payment processors and do not store full payment card numbers on our systems. Declined, reversed, or charged-back payments may result in cancellation and account suspension.

3.5 Taxes

You are responsible for all sales, use, excise, and other taxes applicable to your purchase, other than taxes on our net income. Where we are required to collect tax, it will be added at checkout. If you claim a tax exemption, you must supply a valid exemption certificate before the order is released.

4. Shipping, title, and risk of loss

We ship within the United States only. We do not ship internationally and will not accept orders for delivery outside the United States or to any jurisdiction in which the material may not lawfully be received. We do not ship to freight forwarders.

Delivery estimates are estimates only and are not guaranteed. Title and risk of loss pass to you upon delivery of the shipment to the carrier at our facility, except that we will assist with carrier claims as described in our Shipping & Returns Policy.

You are responsible for providing an accurate, complete delivery address at which a shipment can be received and promptly placed into appropriate storage. We are not responsible for degradation resulting from a shipment left undelivered, refused, or stored inappropriately after arrival.

5. Returns, claims, and cancellation

Because these are chemical reagents whose storage conditions cannot be verified once they leave our custody, we do not accept returns of shipped material and we do not offer satisfaction-based returns or exchanges. All sales are final except as set out below and in our Shipping & Returns Policy.

We will replace or refund material that: (a) does not conform to the Certificate of Analysis supplied with it; (b) is materially damaged in transit; or (c) is lost in transit. Claims must be submitted to orders@bnmresearchpeptides.com within [X] days of delivery (or, for non-delivery, within [X] days of the estimated delivery date), with the order number, lot number, photographs where relevant, and a description of the issue. Replacement or refund of the purchase price is your sole and exclusive remedy.

Orders may be cancelled by you without charge only before dispatch. Once a shipment is released to the carrier it cannot be cancelled.

6. Acceptable use of the Site

You agree not to:

• provide false information about your age, identity, affiliation, location, or intended use;
• use the Site for any unlawful purpose, or in violation of these Terms or the Research Use Policy;
• scrape, crawl, harvest, or systematically extract data from the Site, or use automated means to place orders;
• attempt to gain unauthorised access to the Site, other accounts, or any connected system;
• introduce malware, interfere with the operation of the Site, or circumvent any access control or the entry acknowledgement;
• post, transmit, or solicit content describing the preparation, quantity, administration, or use of any material in or on a human being or an animal;
• reproduce or republish Site content, including Certificates of Analysis, in a manner that implies any use, benefit, result, or endorsement not stated by us.

We may investigate and take action against any suspected violation, including removing content, suspending access, cancelling orders, and reporting the matter to authorities.

7. Intellectual property

The Site and its contents — including text, layout, graphics, logos, and the compilation of catalog and analytical information — are owned by BNM Research Peptides LLC or its licensors and are protected by United States and international intellectual property law. The BNM Research Peptides name and logo are our trademarks and may not be used without our prior written consent.

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for the purpose of evaluating and purchasing materials in accordance with these Terms. All other rights are reserved. Chemical names, CAS numbers, and molecular data are factual information and are not claimed as proprietary; any third-party marks appearing on the Site remain the property of their respective owners and are used for identification only, without implying any affiliation or endorsement.

Any feedback you send us may be used by us without restriction or compensation.

8. Disclaimers, liability, and indemnity

8.1 Site provided as is

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

8.2 Materials

All warranty disclaimers relating to the materials themselves are set out in Section 10 of the Research Use Policy and are incorporated here. In summary: materials are supplied "as is," with no implied warranty of merchantability or fitness for a particular purpose, and no warranty of safety, sterility, or suitability for any application, and no warranty whatsoever regarding any use in or on a human being or an animal.

8.3 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BNM RESEARCH PEPTIDES NOR ITS OWNER, EMPLOYEES, CONTRACTORS, OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, RESEARCH, OR GOODWILL, ARISING FROM OR RELATING TO THE SITE, THESE TERMS, OR ANY MATERIAL SUPPLIED BY US, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO AN ORDER SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE MATERIAL GIVING RISE TO THE CLAIM.

WE ACCEPT NO LIABILITY FOR ANY INJURY, ILLNESS, DISABILITY, DEATH, LOSS, OR DAMAGE ARISING FROM THE ADMINISTRATION OF ANY MATERIAL TO A HUMAN BEING OR AN ANIMAL, OR FROM ANY USE OUTSIDE IN-VITRO LABORATORY RESEARCH, ALL OF WHICH IS PROHIBITED AND UNDERTAKEN ENTIRELY AT YOUR OWN RISK.

Some states do not allow certain limitations, so parts of this section may not apply to you. Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by our own negligence to the extent such exclusion is prohibited.

8.4 Indemnification

You agree to defend, indemnify, and hold harmless BNM Research Peptides LLC, and their owner, employees, contractors, agents, and suppliers from all claims, liabilities, damages, penalties, losses, costs, and expenses (including reasonable attorneys' fees and costs of responding to regulatory enquiries) arising from your breach of these Terms or the Research Use Policy, your use or transfer of any material, any administration of material to a human being or animal, any misrepresentation you made to us, or your violation of law or third-party rights. This obligation survives termination.

9. Governing law and dispute resolution

9.1 Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

9.2 Informal resolution first

Before commencing any proceeding, you agree to contact us at orders@bnmresearchpeptides.com with a written description of the dispute and the relief sought, and to negotiate in good faith for at least 30 days.

9.3 Binding arbitration

If the dispute is not resolved informally, it shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Arbitration shall take place in Pinal County, Arizona or, at your election, by videoconference or on the documents alone. The arbitrator's award may be entered in any court of competent jurisdiction.

9.4 Class action waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court and all other claims remain in arbitration.

9.5 Exceptions

Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights or to restrain unauthorised use of materials.

9.6 Opt-out

You may opt out of Sections 9.3 and 9.4 by sending written notice to orders@bnmresearchpeptides.com within 30 days of first accepting these Terms, stating your name, address, and intent to opt out. Opting out does not affect the remainder of these Terms.

9.7 Time limit

Any claim arising from these Terms or your purchase must be brought within one (1) year after the claim arose, or it is permanently barred, to the extent permitted by law.

10. General provisions

Entire agreement. These Terms, together with the Research Use Policy, Privacy Policy, and Shipping & Returns Policy, constitute the entire agreement between you and us and supersede all prior understandings. Any purchase order terms you issue that conflict with these Terms are rejected and have no effect.

Changes. We may amend these Terms at any time by posting a revised version with a new effective date. The version in force when you place an order governs that order. Continued use of the Site after changes take effect constitutes acceptance.

Severability. If any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including carrier disruption, supply chain failure, natural disaster, labour action, or governmental action.

Survival. Sections 2, 7, 8, 9, and 10 survive termination of these Terms or closure of your account.

Export control. You agree not to export, re-export, or transfer any material in violation of United States export control or sanctions laws.
